RFP Auto Business Continuity Policy

IMPORTANT – READ CAREFULLY BEFORE USING THE SERVICES: By accessing or using the Austin AI RFP Automation platform (“RFP Automation” or the “Services”), you agree to be bound by these Terms of Service (“Terms”). These Terms govern the provision of RFP Automation by Austin AI, Inc. (“Austin AI”, “we”, “us”, or “our”) to you (“Customer”, “you”, or “your”). These Terms, together with any applicable order form, subscription agreement, or other documents incorporated by reference (collectively, the “Agreement”), constitute a legally binding agreement between you and Austin AI. If you do not agree to these Terms, you may not access or use the Services. If you are accepting this Agreement on behalf of a company or other legal entity, you represent and warrant that you have full authority to bind such entity to this Agreement.

RFP Automation provides AI-assisted tools designed to support the preparation of RFP, RFQ, and DDQ responses using Customer-provided content (“Input”) and generates draft responses (“Output”). You acknowledge and agree that the Services and any Output are provided for informational and operational support purposes only and do not constitute legal, financial, or regulatory advice. Output may be generated using artificial intelligence and may contain inaccuracies, omissions, or incomplete information. You remain solely responsible for reviewing, validating, and approving all Output prior to use and for ensuring compliance with applicable laws, regulations, and internal policies.

Austin AI grants you a limited, non-exclusive, non-transferable right to access and use RFP Automation solely for your internal business purposes during the applicable subscription period, subject to the terms of this Agreement and any usage limits specified in your order. You retain ownership of all content you upload to the Services (“Customer Content”). You grant Austin AI a limited license to process Customer Content solely to provide, operate, secure, and improve the Services. Austin AI does not train large language models using Customer Content.

The Services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied, including any warranties of merchantability, fitness for a particular purpose, or non-infringement. To the maximum extent permitted by law, Austin AI disclaims all liability for indirect, incidental, consequential, or special damages arising out of or related to your use of the Services. Austin AI’s total liability under this Agreement shall not exceed the fees paid by Customer for the Services during the six (6) months preceding the event giving rise to the claim.

Your use of the Services is subject to Austin AI’s confidentiality, security, and data protection obligations as described in this Agreement and related policies. This Agreement is governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. By continuing to access or use RFP Automation, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
